These Neutune Account Terms of Use (the "Account Terms") are a legally binding agreement between you and Neutune, Inc. ("Neutune," "we," "us," or "our"). Please read them carefully before creating or using a Neutune Account.
1. Agreement and scope
1.1 The shared Account Services
Neutune provides a common account, authentication, login, security, and account-management system (the "Account Services") used to access MixAudio and NeuSynth. MixAudio is an AI-assisted music and remix platform. NeuSynth is an AI-assisted music-generation tool designed for music-production workflows, including use within compatible digital audio workstations. Together, they are the "Products."
These Account Terms cover only the shared Neutune Account and Account Services for MixAudio and NeuSynth. MusicDNA is not covered. Neutune will update these Account Terms before adding another product to their scope where required.
1.2 Product-specific terms
Each Product has separate Terms of Use, a Privacy Policy, and may have additional feature, offer, community, monetization, or program rules (together, "Product Terms"). Product Terms govern product-specific matters, including features, subscriptions, payments, credits, renewals, refunds, uploaded content, output rights, AI processing, model improvement, publishing, sharing, remixing, monetization, and product-specific data use.
1.3 Priority between terms
If these Account Terms conflict with Product Terms, these Account Terms control matters concerning the shared Neutune Account, authentication, login, account security, and shared account administration. The relevant Product Terms control matters concerning that Product's functionality, payments, content, outputs, AI processing, and product-specific data practices. Mandatory rights under applicable law always prevail where they cannot lawfully be limited or waived.
1.4 Acceptance
By clicking to accept these Account Terms, creating a Neutune Account, linking an existing Product account, or using the Account Services, you agree to be bound by them. If you do not agree, do not create or use a Neutune Account.
1.5 Privacy notice
The Neutune Account Privacy Policy explains how Neutune handles personal data within the shared Account Services, including Google Sign-In data. It is a privacy notice and does not replace any separate consent required by law or by a Product.
2. Eligibility and authority
2.1 Minimum age
You must be at least 13 years old to create or use a Neutune Account. A person under 13 may not create or use an Account. If applicable law requires a higher minimum age or additional safeguards, that law applies.
2.2 Verified guardian consent
If you are under 18 or have not reached the age of legal majority where you live, you may use a Neutune Account only after Neutune has obtained verified consent from your parent or legal guardian and only where applicable law permits. Neutune may request information reasonably necessary to verify age, identity, authority, or guardian consent.
2.3 Guardian responsibilities
A parent or legal guardian who gives consent agrees to these Account Terms on the minor's behalf, confirms authority to provide consent, must supervise the minor's use, and must help the minor understand the applicable Product Terms. If consent is withdrawn or cannot be verified, Neutune may restrict or close the Account and process deletion under Section 10.
2.4 Use for an organization
If you create or use an Account for a company, label, studio, school, or other organization, you represent that you are authorized to accept these Account Terms for that organization. In that case, "you" includes both you and the organization.
3. Creating and managing a Neutune Account
3.1 One shared identity
A Neutune Account provides one shared identity for MixAudio and NeuSynth. Shared profile information, security status, suspension, or deletion may therefore affect access to both Products. Product subscriptions, credits, content, and entitlements remain governed by the relevant Product Terms.
3.2 Existing accounts, linking, and migration
Neutune may allow an existing MixAudio or NeuSynth account to be linked or migrated to a Neutune Account. We may require you to verify control of the existing account and may refuse or delay a merge that creates a security, fraud, ownership, or data-integrity risk. We will not knowingly merge accounts based only on matching information where additional verification is reasonably necessary.
3.3 Accurate information
You must provide accurate, current, and complete Account information and keep it updated. You must not impersonate another person, use information without permission, provide false age or guardian information, or create Accounts to evade restrictions, enforcement, or Product limits.
3.4 Account security
You must safeguard your credentials, protect devices and active sessions, and prevent unauthorized access. You are responsible for activity conducted through your Account except to the extent caused by Neutune's breach of its legal duties. Contact cs@neutune.com promptly if you suspect unauthorized access or compromise.
3.5 Personal and non-transferable
Unless Neutune expressly permits otherwise, an Account is personal to the registered user. You may not sell, transfer, rent, share, sublicense, or provide another person with access to your Account or credentials.
3.6 Electronic communications
Neutune may send verification messages, security alerts, service notices, legal notices, and important Account changes to the email associated with your Account or through the Account Services. You must keep your contact information current. Marketing communications are governed by applicable law, your choices, and the relevant Product Privacy Policy.
4. Google Sign-In and other authentication providers
4.1 Basic Google Sign-In
Neutune may allow you to create or access your Account through Google Sign-In. Neutune requests only the basic OpenID Connect scopes openid, email, and profile. The Google authentication response may include basic profile claims. Neutune's shared account system stores only the stable Google account identifier, verified email address, name, and optional profile image needed for authentication and basic Account display. Neutune does not receive your Google password and does not request access to Gmail, Google Drive, Google Calendar, Contacts, Photos, or other Google content services.
4.2 Permitted use of Google user data
Neutune uses information received through Google Sign-In only to authenticate you, create or link your Account, provide access to MixAudio and NeuSynth, secure the Account Services, prevent fraud or abuse, provide requested support, and comply with applicable law. Google user data, including data derived from it, is not sold; provided to data brokers or information resellers; used for advertising, retargeting, or marketing; used to determine creditworthiness or lending eligibility; or used to train, retrain, fine-tune, test, evaluate, validate, benchmark, improve, or otherwise develop any artificial-intelligence or machine-learning model. Google user data and data derived from it are excluded from all MixAudio and NeuSynth model-training, model-evaluation, and product-improvement datasets.
4.3 Provider terms and independence
Your relationship with Google or another authentication provider is governed by that provider's terms and privacy policy. Google and other authentication providers are not parties to these Account Terms and do not sponsor, endorse, guarantee, operate, or support Neutune, MixAudio, or NeuSynth.
4.4 Revoking a connection
You may revoke a Google connection through your Google Account settings. Revoking it may prevent future Google Sign-In but does not by itself delete the Neutune Account or information already held by Neutune. To initiate deletion across both Products, use the process in Section 10.
4.5 Availability and recovery
An authentication provider may change, restrict, or discontinue its service. Neutune is not responsible for that provider's independent actions, but may offer another reasonable login or Account-recovery method where practicable. You are responsible for maintaining access to the email or authentication account connected to your Neutune Account.
5. Permission to use the Account Services
5.1 Limited permission
Subject to these Account Terms, Neutune grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable permission to use the Account Services for their intended purpose.
5.2 Neutune property
Neutune and its licensors retain all rights in the Account Services, including their software, designs, interfaces, databases, documentation, branding, trademarks, and underlying technology. Except for the limited permission above, no right or license is granted by implication or otherwise.
5.3 Product content and outputs
These Account Terms do not determine ownership, licenses, commercial-use rights, or restrictions for content uploaded to or generated through MixAudio or NeuSynth. Those matters are governed solely by the applicable Product Terms.
6. Acceptable use
You must not use the Account Services to:
- violate applicable law or another person's intellectual-property, privacy, contractual, or other rights;
- impersonate another person or misrepresent your identity, age, guardian consent, or authority;
- access or attempt to access another person's Account without authorization;
- obtain, collect, expose, or misuse another user's credentials or personal data;
- bypass authentication, security controls, usage restrictions, suspension, or enforcement measures;
- probe or test vulnerabilities without Neutune's written authorization;
- introduce malware or interfere with, overload, disrupt, or damage the Account Services or connected systems;
- use bots, scripts, scraping, or automated Account creation except through an interface expressly authorized by Neutune;
- reverse engineer, decompile, disassemble, or attempt to extract source code except to the narrow extent a restriction is prohibited by law;
- resell, rent, transfer, time-share, or commercially exploit the Account Services;
- facilitate fraud, sanctions evasion, or other unlawful activity; or
- help another person carry out a prohibited activity.
Product-specific acceptable-use rules continue to apply within MixAudio and NeuSynth.
7. Product access, purchases, and subscriptions
7.1 Separate Product rules
The Account Services are the shared login layer. Prices, plans, credits, purchases, renewals, cancellation rights, refunds, monetization, revenue sharing, and other commercial terms are set by the relevant Product Terms and the information displayed at purchase.
7.2 Entitlement information
The Account Services may receive limited information from a Product to recognize whether you are entitled to access that Product or a feature. That recognition does not change the Product's billing or content rules.
7.3 Third-party billing
A subscription billed by an app store, payment provider, distributor, or other third party may need to be cancelled through that provider. Account deletion does not guarantee cancellation of an externally billed subscription. Product-specific cancellation and refund rules continue to apply.
8. Operation and changes to the Account Services
8.1 Availability
Neutune aims to provide reliable Account Services but does not guarantee uninterrupted, error-free, or continuously available access. Temporary interruptions may result from maintenance, security incidents, technical failures, network problems, third-party authentication services, legal requirements, or events beyond Neutune's reasonable control.
8.2 Operational changes
Neutune may update, replace, limit, or discontinue parts of the Account Services to improve security or functionality, comply with law, respond to technical requirements, prevent abuse, or support the Products. Where reasonably practicable, Neutune will provide notice of a change that materially and adversely affects users. Immediate changes may be made to address urgent legal, security, fraud, safety, or service-integrity risks.
9. Suspension and restriction
9.1 Grounds for action
Neutune may restrict or suspend an Account where reasonably necessary because of a material or repeated breach, false or invalid Account information or guardian consent, suspected compromise, fraud, unlawful activity, a security or safety risk, non-payment affecting Product access, harm to Neutune or others, or a legal requirement.
9.2 Proportionate enforcement
Where reasonably possible and legally permitted, Neutune will explain a material restriction, limit it to what is reasonably necessary, provide an opportunity to correct the issue or appeal, and restore access when the issue is resolved. Notice may be delayed or omitted where it would create a security, fraud, legal, or safety risk.
9.3 Effect across Products
An Account-level suspension may restrict access to both Products. Where an issue relates only to one Product, Neutune may restrict only that Product where reasonably practicable. You may request review by contacting cs@neutune.com.
10. Account deletion and termination
10.1 Requesting deletion
You may request deletion through Account settings where available or by contacting cs@neutune.com. Neutune may take reasonable steps to verify your identity and authority before completing the request.
10.2 Unified deletion across MixAudio and NeuSynth
Deleting the shared Neutune Account terminates its access to both Products, initiates deletion of shared Account data, and initiates deletion or de-identification of associated Product data in accordance with the Neutune Account Privacy Policy, the relevant Product Privacy Policies, and applicable law. You should export any files or information you wish to retain before deletion where a Product provides an export function.
10.3 Effects and retained information
Deletion may result in loss of unused Product benefits, files, history, and access, subject to the relevant Product Terms and mandatory law. Neutune may retain limited information where reasonably necessary for legal, tax, accounting, billing, chargeback, fraud-prevention, security, dispute, enforcement, or backup purposes. Retained information remains protected and is not used for unrelated purposes.
10.4 Termination by Neutune
Neutune may terminate an Account for a serious or repeated breach, unlawful use, security risk, invalid guardian consent, persistent non-payment affecting access, or where required by law. Where reasonable and legally permitted, Neutune will provide notice and an opportunity to appeal before permanent termination.
10.5 Survival
Upon deletion or termination, permission to use the Account Services ends. Provisions that by their nature should survive - including ownership, feedback, disclaimers, liability, disputes, and general provisions - continue. Product content and Output rights remain governed by the applicable Product Terms.
11. Third-party services
The Account Services may depend on third-party authentication, hosting, security, communications, analytics, support, and payment services. Their independent terms and privacy practices govern your relationship with them. Neutune is not responsible for an independent third-party service, but this does not limit Neutune's responsibility for service providers it appoints where applicable law makes Neutune responsible.
12. Disclaimers
12.1 Mandatory rights preserved
Nothing in these Account Terms excludes warranties, statutory guarantees, remedies, or consumer rights that cannot lawfully be excluded or limited.
12.2 Account Services
TO THE FULLEST EXTENT PERMITTED BY LAW, THE ACCOUNT SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." NEUTUNE DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT. NEUTUNE DOES NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE ACCESS, CONTINUED SUPPORT FOR EVERY AUTHENTICATION PROVIDER, SUCCESSFUL RECOVERY IN EVERY CASE, OR FREEDOM FROM ALL SECURITY THREATS OR TECHNICAL DEFECTS.
12.3 Products
Warranties, disclaimers, and remedies relating specifically to MixAudio or NeuSynth are governed by the applicable Product Terms.
13. Limitation of liability
13.1 Excluded loss
To the fullest extent permitted by law, Neutune and its officers, employees, affiliates, licensors, and service providers will not be liable under these Account Terms for indirect, incidental, special, consequential, exemplary, or punitive loss; loss of profits, revenue, business, opportunity, goodwill, data, or anticipated savings; or loss resulting from unauthorized access caused by your failure to protect credentials, even if advised that the loss was possible.
13.2 Liability cap
To the fullest extent permitted by law, Neutune's aggregate liability arising from or relating to the Account Services or these Account Terms will not exceed the greater of (a) the amount you paid directly for the Account Services during the 12 months before the event giving rise to the claim and (b) US$100. Product fees are governed by Product Terms and are not Account Services fees unless expressly stated otherwise.
13.3 Exceptions
The exclusions and cap do not apply to liability that cannot lawfully be excluded or limited, including fraud, willful misconduct or gross negligence where applicable, death or personal injury caused by negligence where applicable, mandatory data-protection liability, and non-waivable consumer remedies.
14. Responsibility for business claims
If you use the Account Services for a business or organization, that organization will, to the extent permitted by law, defend and indemnify Neutune against third-party claims arising from its unlawful use, material breach, or unauthorized creation or management of Accounts for others, except to the extent caused by Neutune. This Section does not apply to an individual acting solely as a consumer.
15. Changes to these Account Terms
Neutune may update these Account Terms to reflect changes in law, the Account Services, security practices, or business operations. For changes that materially affect your rights, Neutune will provide reasonable advance notice by email, through the Account Services, or by another appropriate method, unless an urgent legal or security reason requires an earlier change. The revised Account Terms will state their effective date.
If you do not agree to revised Account Terms, you may stop using the Account Services and request Account deletion. Continued use after the effective date constitutes acceptance only to the extent permitted by law. Mandatory rights remain unaffected.
16. Export controls and international use
You must comply with applicable United States and international export-control, trade-sanctions, and import laws. You may not use, export, re-export, transfer, or provide access to the Account Services where prohibited by law or if you are subject to sanctions that prohibit the relationship.
17. Governing law and disputes
17.1 Governing law
These Account Terms are governed by the laws of the State of Delaware and applicable United States federal law, without regard to conflict-of-law principles. If you are a consumer, this choice does not deprive you of mandatory protections provided by the law of the country, state, or region where you ordinarily reside.
17.2 Informal resolution
Before filing a claim, you and Neutune agree to make a good-faith attempt to resolve it through written notice. Send notices to cs@neutune.com and include the Account email, a description of the issue, and the remedy requested. This does not prevent urgent relief or a mandatory consumer process.
17.3 Courts
For business users, the state and federal courts located in Delaware have exclusive jurisdiction. Consumers may bring a claim in another court where mandatory local law gives them that right, and Neutune may bring a claim against a consumer only where applicable law permits.
18. General provisions
18.1 Entire agreement
These Account Terms and applicable Product Terms form the agreement governing the shared Account and Product use. The Neutune Account Privacy Policy and Product Privacy Policies describe data practices and do not substitute for consent where consent is legally required.
18.2 Assignment
You may not transfer these Account Terms or your Account without Neutune's written consent. Neutune may assign them in connection with a merger, acquisition, corporate reorganization, financing, or transfer of the relevant business, subject to applicable law and appropriate notice.
18.3 Severability, waiver, and interpretation
If a provision is invalid or unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions continue. A failure to enforce a provision is not a waiver. Headings are for convenience, and "including" means "including without limitation."
18.4 Events beyond reasonable control
Neither party is responsible for delay or failure caused by events beyond its reasonable control, except where applicable law provides otherwise. This clause does not excuse payment already due or obligations that cannot lawfully be excluded.
18.5 No third-party beneficiaries
These Account Terms do not give enforcement rights to third parties. Google and other login providers are not beneficiaries of or parties to these Account Terms.
18.6 Language
Translations may be provided for convenience. Where legally permitted, the English version controls if translations conflict. Mandatory local-language requirements remain unaffected.
